Referral Program Terms & Conditions

The Referral Program Terms and Conditions (hereafter Terms and Conditions) below constitute a legal agreement between the Referral Program participant as the “Referrer” (more particularly defined below) and RealRise Capital (hereafter “Company”), who is the legal owner of the domain name and website www.realrisecapital.net (hereafter “Website”).
The Program allows the Referrer to refer potential Sponsors to RealRise Capital in exchange for a Referral Bonus (as defined below and provided herein). The Program is limited to Sponsors.
- Definitions and Interpretation
1.1. In these Referral Program Terms and Conditions, the following words shall have the meaning respectively ascribed to them:
1.1.1. “Services” means any capital raise activities that occur on www.realrisecapital.net including, but not limited to project submission application completion.
1.1.2. “Sponsor” means a real estate investing company that is interested in using RealRise Capital services to raise capital for a real estate project in their portfolio
1.1.3. “Accepted Sponsor ” means a Referral that has been accepted by RealRise Capital and that is not an Existing Project Sponsor.
1.1.4. “Existing Sponsor also known as Issuer” means any Sponsor ie. real estate investing entity or company, (not a broker dealer) to which RealRise Capital has provided Services before the applicable Referral Date of a Referral or with which RealRise Capital has already commenced discussions regarding RealRise Capital’s Services.
1.1.5. “Program” means Referral Program.
1.1.6. “Referrer” means an existing platform user who has opened an account on the RealRise Capital platform, (not a broker dealer) and voluntarily participates in the Program by referring eligible Sponsors to the platform.
1.1.7. “Referee” means a potential Sponsor who is not an existing Sponsor and who has given his/her approval and whom the Referrer has referred through the Program.
1.1.8. “Referral” means a potential Sponsor, (not an individual investor and not a broker dealer) for Services, which Referee has directly referred to as RealRise Capital.
1.1.9. “Referral Date” means the date of referral submission of a Referral by Referrer to RealRise Capital.
1.1.10. “Referral Bonus” is a fixed $500 disbursement to the Referee and Referrer when the Terms and Conditions of the Program are met.
- Eligibility Criteria
2.1. The Program is open and available to Referrers who meet the following criteria:
2.1.1. The Referrer must be an existing registered user of RealRise Capital.
2.1.2. The Referee is not an existing registered issuer (not an investor) of RealRise Capital and has not conducted business with the Company.
2.1.3. The Referrer will not be eligible to receive the referral bonus under this Program if the Referee is already a user registered in the database of RealRise Capital at the date of referral
2.1.4. The Referral Program submission is only valid when submitted through the Website via www.securelivingrei.com/referral-program
2.1.5. The Referee must be notified and have consented to their details, personal data, and information being passed to RealRise Capital for this Program before the date of the referral by the Referrer.
2.1.6. The referee can only be referred to RealRise Capital once. If a Referee is referred to RealRise Capital more than once, only the first person to refer the Referee to RealRise Capital (with the Referee’s permission) will be eligible for a referral bonus under this Program.
2.1.7. Permanent employees, contract, and temporary workers working directly for RealRise Capital are not eligible to participate in the Program.
2.1.8. The Referrer will only be eligible to receive the referral bonus once the Referee has fully registered as a Sponsor with RealRise Capital and completed all compliance checks and onboarding.
2.1.9. The Referee must be placed in onboarding with RealRise Capital within 3 months of the referrer signing up for the referral program.
- Referrer Responsibilities
3.1. It is the Referrer’s responsibility to contact RealRise Capital to receive status updates on their referral bonus.
3.2. The Referrer agrees that RealRise Capital will not be held liable for any loss or claim arising out of the use of this Program and waives all claims against RealRise Capital, The Referrer acknowledges that they would take part in the Program on their own volition and risk.
3.3. The Referrer agrees that he or she will not make any representations, promises, warranties, or other statements about RealRise Capital or the RealRise Capital’s website, products, services, or policies other than as may be expressly approved in writing by RealRise Capital or as otherwise provided to the Referrer by RealRise Capital for that purpose.
3.4. The Referrer is responsible for providing the full and accurate information requested by RealRise Capital in connection with the Program. Such information includes, but is not limited to, contact details about the Referee.
- Terms for Earning the Referral Bonus under the Program
4.1. Subject to meeting the requirements of Clauses 2 and 3:
4.1.1. The referral bonus can be claimed after the Referee successfully registers their offering on the platform and completes the compliance checks and onboarding.
4.1.2. For successful registration, compliance checks and onboarding:
4.1.2.1. The benefit is extended to both parties, the referrer and the referee (who is not yet an existing Sponsor) are eligible to receive a referral bonus once referee onboarding is complete, in compliance with the Referral Program Terms & Conditions.
4.1.2.2. The referral detailed in this Program is a net payment. The Company is not responsible for any taxes, as required by law, arising from the provision of the referral bonuses.
4.1.2.3. If, within ninety days of the applicable Referral Date, the Referee onboards with RealRise Capital, the Referrer shall be entitled to receive a bonus (“Referral Bonus”). The Referral bonus due is outlined in the below section “4.1.3. Referral Bonus”.
4.1.3. Referral Bonus:
4.1.3.1. Both parties, the referrer and the referee (who is not yet an existing customer, investor, or broker-dealer) will receive a bonus of $500, in the form of a pre-paid electronic Master Gift Card, to be paid within 30 days of the approved onboarding. Payment disbursements will take place electronically via email.
4.1.4. Resolution of conflicts regarding referral fees
4.1.4.1. RealRise Capital shall not be liable for more than a single Referral Bonus for every single Referral. If any third-party should claim any Referral Bonus or part thereof, then the Referral Bonus shall be awarded to the Referrer with the earliest Referral Date submission.
4.1.4.2. RealRise Capital shall make a reasonable effort to consult with all relevant parties and the final decision of RealRise Capital regarding the Referral Bonus shall be final.
4.1.5. Disclosure
4.1.5.1. Referrer and RealRise Capital must disclose to Referral the compensation received by Referrer from RealRise Capital. Disclosure should be conducted via written notice; email is acceptable.
- LIMITATION OF LIABILITY
THE PARTIES’ TOTAL CUMULATIVE LIABILITY FOR DAMAGES OF ANY KIND ARISING OUT OF THIS AGREEMENT SHALL BE LIMITED TO THE REFERRAL BONUS PAYABLE BY REALRISE CAPITAL HEREUNDER. - Governing Law
These Terms and Conditions are governed by and construed under the laws of the United States. - Waiver
The waiver by either party of any default or breach of this Agreement shall not constitute a waiver of any other or subsequent default or breach. - Severability
In the event any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect. - Assignment
This Agreement shall not be assigned by, in Referrer or part, without the express written consent of RealRise Capital. - Entire Agreement
This Agreement constitutes the complete and exclusive agreement between the parties concerning its subject matter and supersedes all prior or contemporaneous agreements, written or oral, concerning the subject matter of this Agreement. Any modification or amendment of this Agreement will only be effective if in writing and signed by both parties. - No third-party beneficiaries
This Agreement is intended for the sole and exclusive benefit of the signatories and is not intended to benefit any third party. Only the parties to this Agreement may enforce it. - Counterparts
This Agreement may be executed in counterparts, each of which shall constitute an original, and all of which shall constitute the same instrument. - Headings
The headings in this Agreement are for convenience only and have no legal effect. - Notices
RealRise Capital may give notice to a Referrer or Referee by e-mail to Referrer’s or Referee’s e-mail address on record in RealRise Capital’s database. Referrer may give notice to RealRise Capital by sending an e-mail to[email protected].
